This Subcontractor Agreement (the "Agreement") is made and entered into as of 2026-05-28 by and between [Contractor] ("Contractor") and [Subcontractor] ("Subcontractor"), with respect to the Project described below.

2. Contract Price
Contractor shall pay Subcontractor the sum of $0.00 as full and complete compensation for the Work described in Section 1, subject to the payment terms below and any approved change orders executed in writing by both parties.
3. Payment Terms
Subcontractor shall submit progress payment applications no later than the 25th of each month for work completed through that date. Contractor shall pay Subcontractor within seven (7) days of receiving payment from the Owner for such work, less ten percent (10%) retainage. Retainage shall be released to Subcontractor within thirty (30) days of (a) Subcontractor's full completion of all Work, (b) acceptance by Contractor and Owner, (c) Subcontractor's submission of all required closeout documents including lien waivers, warranties, and as-built drawings, and (d) Owner's release of retainage to Contractor. Final payment is contingent on Subcontractor's delivery of a final unconditional lien waiver and completion of any punch list items to Contractor's satisfaction.
4. Schedule
Subcontractor shall commence the Work on or about [Start Date] and shall achieve substantial completion no later than [Completion Date], subject to extensions for excusable delays.
5. Insurance
Subcontractor shall procure and maintain, at its own expense, the following insurance coverage for the duration of the Work: 1. Commercial General Liability — $1,000,000 per occurrence / $2,000,000 aggregate, including products/completed operations coverage extending three (3) years past substantial completion. 2. Automobile Liability — $1,000,000 combined single limit covering all owned, hired, and non-owned vehicles. 3. Workers' Compensation — Statutory limits as required by the state in which the Work is performed, with Employer's Liability of $1,000,000 each accident. 4. Umbrella / Excess Liability — $1,000,000 minimum. Contractor and Owner shall be named as additional insureds on the Commercial General Liability and Automobile Liability policies on a primary and non-contributory basis. Certificates of insurance shall be provided to Contractor before Subcontractor begins Work on site and updated upon any policy renewal or material change.
6. Indemnification
To the fullest extent permitted by applicable law, Subcontractor shall indemnify, defend, and hold harmless Contractor, Owner, and their respective officers, directors, agents, and employees from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney fees) arising out of or resulting from the performance of the Work, but only to the extent caused by the negligent acts or omissions of Subcontractor, its agents, employees, or any party for whose acts Subcontractor may be liable. This indemnification obligation shall not be construed to negate, abridge, or otherwise reduce any other right or obligation of indemnity that would otherwise exist.
7. Termination
Contractor may terminate this Agreement for cause upon seven (7) days' written notice if Subcontractor (a) fails to supply sufficient skilled workers or proper materials, (b) fails to make prompt payment to its sub-subcontractors or suppliers, (c) fails to comply with applicable laws, regulations, or the General Contract, or (d) is otherwise in material default and does not cure the default within the notice period. Contractor may also terminate this Agreement for convenience upon fourteen (14) days' written notice, in which case Subcontractor shall be paid for all Work satisfactorily completed through the date of termination, plus reasonable demobilization costs, but shall not be entitled to lost profit on unperformed Work. Upon any termination, Subcontractor shall promptly remove its equipment and personnel from the site and deliver to Contractor all drawings, specifications, and documents related to the Work.
8. Compliance with Laws
Subcontractor shall comply with all applicable federal, state, and local laws, ordinances, building codes, and OSHA safety regulations in performing the Work, and shall obtain and maintain at its own expense all licenses and permits required for the Work.
9. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict-of-laws principles.
10. Entire Agreement
This Agreement, together with all exhibits, plans, specifications, and the General Contract referenced above (if any), constitutes the entire agreement between the parties and supersedes all prior oral or written agreements relating to the Work. Any modification must be in writing and signed by both parties.
